Terms of Service
Master Services Agreement governing your use of ViralMag's AI short-form video generation platform.
These terms establish a binding legal agreement between your organization and ViralMag Inc. By creating a workspace or generating video assets, you agree to these Master Service terms.

1. Account Terms & Eligibility #
By registering for a ViralMag workspace account, you represent and warrant that:
- You are at least 18 years of age (or the legal age of majority in your jurisdiction).
- If entering into these Terms on behalf of a corporation or entity, you have full legal authority to bind that entity to this Agreement.
- All registration information provided is accurate, complete, and maintained up to date. You are responsible for maintaining the confidentiality of your workspace credentials.
2. Services & Quota Entitlements #
ViralMag provisions cloud-based AI short-form video generation services. Subscriptions grant monthly quota credits to generate topics, script variations, AI creator voiceovers, and rendered MP4 video files as defined on our Pricing Page.
- Credit Consumption: Credits are deducted upon completion of video rendering tasks. Unused monthly quota credits do not roll over across billing cycles unless specified in a custom Enterprise Agreement.
- Fair Usage & API Rate Limits: To preserve service quality across multi-tenant clusters, ViralMag enforces rate limits on concurrent video rendering queues. Attempting to bypass concurrency caps via automated scripting is strictly prohibited.
3. Intellectual Property Rights & Ownership #
Intellectual property ownership is strictly demarcated between Customer Assets, Platform Engine, and Rendered Output:
A. Customer Inputs & Trademarks
You retain sole ownership of all product briefs, copy, logos, trademarks, images, and audio assets uploaded to ViralMag ("Customer Content"). You grant ViralMag a limited, non-exclusive, worldwide, royalty-free license solely to host, process, and render Customer Content as necessary to provide the platform services to you.
B. Rendered Video Output Ownership
Upon payment of applicable subscription fees, you own all right, title, and interest in and to the final generated MP4 video outputs, scripts, and creative variations rendered by ViralMag for commercial broadcast, paid ads, and organic social media publishing.
C. ViralMag Platform Rights
ViralMag retains all right, title, and interest (including patent, copyright, trade secret, and trademark rights) in the core SaaS platform, software algorithms, UI components, template structures, and system analytics.
4. Conduct Restrictions & Acceptable Use #
You agree to comply fully with our Acceptable Use Policy. Without limiting the generality of the policy, you shall NOT use ViralMag to:
- Generate video marketing materials for products, brands, or trademarks you do not possess legal authority to represent.
- Clone the voice, likeness, or persona of real individuals without explicit written consent.
- Produce content that violates social media advertising guidelines (TikTok, Instagram Reels, YouTube Shorts, Meta Ads).
- De-compile, reverse-engineer, or attempt to extract source code from the ViralMag rendering engine.
5. Subscription, Billing, Renewals & Refunds #
Subscriptions are billed on a recurring monthly or annual basis in advance:
- Automatic Renewal: Plans renew automatically at the end of each billing cycle unless cancelled from workspace billing settings prior to the renewal date.
- Payment Processing: Charges are processed securely via Stripe. Failure to settle unpaid invoices within 7 days of due date may result in workspace suspension.
- Refund Policy: We offer a 14-day evaluation window for new paid subscriptions. If you are unsatisfied with platform capabilities, contact support within 14 days of purchase for a full refund of your initial subscription fee.
6. Confidentiality #
Each party agrees to safeguard non-public information disclosed by the other party ("Confidential Information") using the same degree of care it uses to protect its own confidential assets (and no less than reasonable care). Confidential Information includes unpublished product launches, pre-release scripts, pricing discounts, and technical infrastructure details.
7. Warranties & Service Level Agreements #
ViralMag warrants that the services will operate in material conformity with published product documentation. Enterprise plans include a dedicated SLA guaranteeing 99.9% uptime per calendar month.
Except as expressly set forth herein, services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory.
8. Limitation of Liability & Indemnification #
Cap on Liability: To the maximum extent permitted by law, neither party's total aggregate liability arising out of or related to this Agreement shall exceed the total amount paid by Customer to ViralMag during the twelve (12) month period immediately preceding the event giving rise to liability.
Exclusion of Indirect Damages: In no event shall either party be liable for any indirect, special, incidental, consequential, or punitive damages (including loss of revenue, profits, or data).
IP Indemnification by ViralMag: ViralMag agrees to defend Customer against third-party claims alleging that the core ViralMag platform engine directly infringes a valid patent or copyright.
9. Term & Termination #
This Agreement commences when you create a workspace and continues until terminated:
- Termination for Convenience: You may cancel your subscription at any time via workspace billing settings.
- Termination for Cause: Either party may terminate immediately if the other party materially breaches this Agreement and fails to cure such breach within 14 days of written notice.
- Post-Termination Export: Customer will have a 30-day window following termination to export all rendered video files before workspace data is permanently purged.
10. Governing Law & Dispute Resolution #
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules.
